AI FEATURES ADDENDUM

This AI Features Addendum (“Addendum”) sets forth additional terms applicable to all clinical, generative and/or agentic artificial intelligence or similar features or functionality (“AI Features”) provided by Planet DDS as part of the Services.

This Addendum incorporates and is subject to the terms of the Software-as-a-Service Agreement (the “Agreement”) and the applicable Order that sets forth the AI Features to be provided by Planet DDS to the customer identified on the Order (“Customer”). Capitalized terms used but not otherwise defined herein shall have the meanings assigned to them in the Agreement. To the extent there is any conflict between this Addendum and the Agreement, this Addendum will control solely with respect to the AI Features.

1. AI Features.

This Addendum governs Customer’s use of the AI Features, which may include, without limitation, clinical analysis, automated communications, voice charting, and other AI-powered capabilities, whether developed by Planet DDS or incorporating third-party technology. During the Term, Planet DDS will provide Customer with access to the AI Features as set forth on the applicable Order. AI Features are part of the Services.

2. Output and Data.

Content, data, recommendations, or other results may be generated by the AI Features (“Output”) and provided as part of the Services. Output is subject to the data license, data handling, and Aggregated Data provisions set forth in the Agreement, except as modified by this Addendum. Output shall be considered Customer Data to the extent it is written back to the Services and hosted together with other Customer Data. For clarity, Planet DDS’s rights with respect to Aggregated Data under the Agreement extend to data derived from Output in the same manner as data derived from Customer Data.

3. Customer Obligations.

In addition to Customer’s obligations set forth in the Agreement, Customer shall not (and shall require that its Licensed Users do not) and shall not allow any third party to: (a) use the AI Features for the benefit of any unauthorized third party or for any other purpose not expressly permitted by this Addendum or the Agreement; (b) use any robot, spider, scraper, or other automated means to access the AI Features in an unauthorized manner, or engage in any scraping, data-mining, harvesting, data aggregating, or indexing of the AI Features or Output; (c) use the AI Features or Output to develop, train, or improve any artificial intelligence or machine learning model, product, or service, whether for Customer’s own use or for the benefit of any third party; (d) access or use the AI Features to create a new or competitive product or service or build a new or competitive add-on, module, or enhancement to an existing product or service; or (e) publicly disseminate information regarding the performance of the AI Features or the quality or accuracy of Output.

Customer further acknowledges and agrees that: (x) the AI Features may utilize artificial intelligence and machine learning technologies that are inherently probabilistic and may produce Output that is inaccurate, incomplete, or unsuitable for a particular purpose; (y) Customer is solely responsible for evaluating and determining the appropriateness and accuracy of any Output before relying on or acting upon it; and (z) Customer shall maintain appropriate human oversight of the AI Features, including by ensuring that all Output is reviewed by an appropriately licensed healthcare professional before being used in connection with patient care.

4. AI Data Handling.

Customer acknowledges that the AI Features may process Customer Data, including protected health information, in order to generate Output. Such processing is subject to the data security, confidentiality, and data handling provisions of the Agreement and the BAA. Planet DDS will not use or retain Customer Data or Output to train, retrain, or fine-tune the AI Features or other AI or machine-learning models. Customer is solely responsible for ensuring that any data submitted to the AI Features is appropriate for processing by the AI Features and that Customer has obtained all necessary consents and authorizations required under applicable law.

5. Ownership.

As between Planet DDS and Customer, Planet DDS owns all right, title, and interest in and to the AI Features, including all models, algorithms, and improvements derived from Aggregated Data. Customer retains all right, title, and interest in and to Customer Data and Output, subject to the licenses and rights granted in the Agreement and this Addendum. Due to the nature of the AI Features, Planet DDS does not represent or warrant that any Output is free of third-party intellectual property rights. Claims of intellectual property infringement or misappropriation arising from Output are excluded from indemnification under the Agreement.

6. AI Features Disclaimers.

In addition to the disclaimers set forth in the Agreement, Customer acknowledges and agrees to the following with respect to the AI Features: (a) PLANET DDS DOES NOT WARRANT THAT THE OUTPUT WILL BE ACCURATE OR RELIABLE, NOR THAT PLANET DDS WILL REVIEW THE CUSTOMER DATA SUBMITTED TO THE AI FEATURES FOR ACCURACY OR PRESERVE OR MAINTAIN CUSTOMER DATA WITHOUT LOSS OR CORRUPTION; (b) PLANET DDS SHALL NOT BE LIABLE FOR THE RESULTS OF ANY COMMUNICATIONS SENT, OR ANY COMMUNICATIONS THAT FAILED TO BE SENT, USING THE AI FEATURES, OR FOR DELAYS, INTERRUPTIONS, SERVICE FAILURES OR OTHER PROBLEMS INHERENT IN USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS, THIRD-PARTY PLATFORMS OR OTHER SYSTEMS OUTSIDE THE REASONABLE CONTROL OF PLANET DDS OR ITS THIRD-PARTY SERVICE PROVIDERS; (c) PLANET DDS EXPRESSLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES THAT CUSTOMER’S USE OF THE AI FEATURES WILL SATISFY ANY STATUTORY OR REGULATORY OBLIGATIONS, OR WILL ASSIST WITH, GUARANTEE OR OTHERWISE ENSURE COMPLIANCE WITH ANY APPLICABLE LAWS OR REGULATIONS; AND (d) CUSTOMER IS SOLELY RESPONSIBLE FOR ENSURING THAT CUSTOMER’S AND ITS USERS’ USE OF AND ACCESS TO THE AI FEATURES IS IN ACCORDANCE WITH APPLICABLE LAW.

Planet DDS is not engaged in the practice of dentistry. The AI Features and Output are not standalone clinical decision tools and shall not be considered medical advice. Output is not intended to be instructions for medical diagnosis, treatment, or care and is designed to be used in conjunction with other processes and procedures under the supervision of appropriate healthcare professionals. The AI Features and Output are intended as a reference and a supplement to, and not a substitute for, the knowledge, expertise, skill, and judgment of licensed medical professionals. Customer acknowledges and agrees that the AI Features or Output shall not be used in connection with rendering patient care by anyone other than an appropriately licensed medical professional exercising professional judgment.
